  • Infineon Technologies AG today announced that Infineon has acquired the Zürich-based startup 3db Access AG, a pioneer in secured low power Ultra-Wideband (UWB) technology a preferred IP provider for major automotive brands.
    Infineon is acquiring 100 percent of the company's shares. The parties have agreed not to disclose the amount of the transaction.
    Originally an ETH Zürich (Switzerland) spinoff, 3db Access maintains a strategic partnership with ETH.

  • Knowles Corporation, a global supplier of high performance components and solutions, including ceramic capacitors and radio frequency (“RF”) filters, advanced medtech microphones and balanced armature speakers and audio solutions, announced on September 18th, 2023, strategic actions to accelerate its transformation to an industrial technology company focused on higher growth and higher value opportunities.
    On its website. Knowles Corporation announced that the Company has entered into a definitive agreement to acquire Cornell Dubilier in an all-cash transaction.
    The total cost of the acquisition is $263 million and consists of a $140 million cash payment at closing and an interest-free seller note of $123 million, with $50 million maturing one year from closing and the remaining $73 million maturing two years from closing. The total fair value of the consideration transferred is estimated at $250 million and represents 9.6x Cornell Dubilier’s trailing-twelve-month adjusted EBITDA inclusive of run-rate cost synergies. Knowles expects to finance the acquisition with a combination of cash on hand, borrowings from its existing revolving credit facility, and the seller note.
    The acquisition is expected to close in the fourth quarter of calendar year 2023, subject to regulatory approvals and other customary closing conditions.
    In parallel, Knowles announced that it is evaluating strategic alternatives for its Consumer MEMS Microphones business.

  • Delta Electronics, Inc. a provider of power and thermal management solutions, today announced the signing of a definitive agreement to purchase, through its subsidiary Delta International Holding Limited B.V., 100% shareholdings of HY&T Investments Holding B.V. and its subsidiaries, including TB&C Group, a provider of automotive high-voltage hybrid components, from Cooperatief H2 Equity Partners Fund IV Holding W.A. and Te Bokkel Beheer B.V. for 142 million euros.
    TB&C, with its operational headquarters in Germany, develops industry-leading hybrid technologies for mechanical components applied in automotive, industrial, and medical applications. Its customer base includes world-class automotive companies, as well as tier-1 automotive suppliers.

  • Renesas Electronics Corporation today announced its wholly owned subsidiary has entered into a definitive agreement with the shareholders of Panthronics AG under which Renesas will acquire Panthronics in an all-cash transaction. The acquisition has been unanimously approved by the board of directors of Renesas and is expected to close by the end of the calendar year 2023, subject to required regulatory approval and customary closing conditions.

  • Radisys Corporation, a wholly owned subsidiary of Jio Platforms Limited, announced the acquisition of Mimosa Networks, from Airspan Networks for US$ 60 million on a debt-free, cash-free basis.

  • CAES, also known as Cobham Advanced Electronic Solutions, announced today that Herley has joined CAES.
    CAES purchased Herley from Ultra Electronics, which is now part of Cobham following its acquisition in 2022.

  • ReliaSat Limited, an employee-owned wholly UK enterprise has agreed the acquisition of Arralis Technologies.
    As part of the acquisition, ReliaSat has purchased all of Arralis Technologies’ European intellectual property and manufacturing facilities, with the business also rebranding to ReliaSat.
    ReliaSat was founded by former Arralis Technologies CEO Mike Gleaves.

    GaN Systems Inc. is headquartered in Ottawa, Canada, and has more than 200 employees.

  • Akoustis Technologies, Inc., an integrated device manufacturer (IDM) of patented bulk acoustic wave (BAW) high-band RF filters for mobile and other wireless applications, announced today that it has acquired Grinding and Dicing Services, Inc. (GDSI), a US-based provider of premium back-end semiconductor supply chain services.
    Akoustis is paying $14 million in cash and $2 million in stock for GDSI, with an additional $4 million in the form of a secured promissory note payable over 3 years based on key employee retention and agreed upon performance, for a total of $20 million.
