  • Nikkei reports that Toshiba is to restructure itself into three separate entities:
    One will focus on devices, another on infrastructure and a third one on semiconductor memory.
    However, the source said, it is possible that Kioxia, the NAND business in which Toshiba has a 40% stake, may be put under the management of the devices company.

  • On November 4th, 2021, VIA Technologies Inc. has issued a company filing with the Taiwan Stock Exchange announcing plans to sell Centaur Technology, its wholly-owned subsidiary specializing in x86 CPU designs, to Intel Corporation for a total of US$125 million.

  • On November 3rd, Qorvo® Inc. announced that it has acquired Princeton, New Jersey-based United Silicon Carbide Inc. (UnitedSiC). The acquisition of United Silicon Carbide expands Qorvo's reach into the fast-growing markets for electric vehicles (EVs), industrial power, circuit protection, renewables and data center power. United Silicon Carbide will become part of Qorvo's Infrastructure & Defense Products (IDP) business and will be led by Dr. Chris Dries, who was formerly United Silicon Carbide's president and CEO and is now general manager of Qorvo's Power Device Solutions.
    The terms of the deal are not being disclosed.

  • On October 14th, Sivers Semiconductors AB has entered into an agreement to acquire 100 per cent of the share capital of MixComm Inc. for an initial purchase price of USD 135m (approximately SEK 1,173 million) on a debt-free basis. The consideration will be paid through a combination of USD 22.5 million (SEK 196 million) in cash and USD 112.5 million (approximately SEK 978 million) in 39,335,664 newly issued Sivers shares based on the 10-day volume weighted average price of a Sivers share prior to signing of the agreement. In addition, there is a performance-based earn-out of up to USD 20 million (SEK 174 million) to be paid in new Sivers shares based on the same share exchange ratio, tied to the achievement of certain commercial customer milestones within nine months from signing. Following this announcement, Sivers intends to effect a directed share issue to fund the cash consideration, transaction fees and expenses, and the ongoing working capital needs of the combined business.

  • On October 28th, Renesas Electronics Corporation announced that it had entered into a definitive agreement with Israel's Celeno Communications. Under the terms of the agreement, Renesas will acquire Celeno in an all-cash transaction valued at approximately $315 million (approximately 35.9 billion yen at an exchange rate of 114 yen per dollar), subject to certain milestone payments under the definitive agreement. The transaction was unanimously approved by the boards of directors of both companies and is expected to close by the end of the 2021 calendar year, subject to customary closing conditions.

  • On August 3rd, Marvell Technology, Inc. and Innovium, Inc. announced a definitive agreement under which Marvell will acquire Innovium in an all-stock transaction.
    Marvell is buying Innovium for $1.1 billion in stock, but Marvell will use Innovium cash and equivalents worth approximately $145 million to help finance the deal.

  • On July 15th Mobix Labs Inc. announced it has acquired all of the assets and intellectual property (IP) of Cosemi Technologies Inc.

  • Nuclera announced on May 12th, 2021, the acquisition of the digital microfluidics unit from E Ink Holdings Inc. into the newly formed US subsidiary of Nuclera.
    In the transaction, E Ink will contribute intellectual property, equipment, and highly specialized scientists and engineers. Reciprocally, E Ink will become the largest strategic shareholder in Nuclera.

  • CEVA, Inc. announced on May 10th, 2021, that it agreed to acquire Massachusetts-based Intrinsix Corp. for approximately $33 million in cash, subject to working capital and other customary purchase price adjustments. The closing of the acquisition is anticipated to take place during the second quarter of 2021.

  • Renesas Electronics Corporation and Dialog Semiconductor Plc today announced they have reached an agreement on the terms of a recommended all-cash acquisition by Renesas of the entire issued and to be issued share capital of Dialog for EUR 67.50 per share, representing a total equity value of approximately EUR 4.9 billion.

  • Qualcomm Incorporated today announced that its subsidiary, Qualcomm Technologies, Inc., has entered into a definitive agreement to acquire NUVIA Inc. for approximately $1.4 billion before working capital and other adjustments. The transaction is subject to customary closing conditions, including regulatory approval under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended.

  • Teledyne Technologies Incorporated and FLIR Systems, Inc. jointly announced today that they have entered into a definitive agreement under which Teledyne will acquire FLIR in a cash and stock transaction valued at approximately $8.0 billion.
    Under the terms of the agreement, FLIR stockholders will receive $28.00 per share in cash and 0.0718 shares of Teledyne common stock for each FLIR share, which implies a total purchase price of $56.00 per FLIR share based on Teledyne’s 5-day volume weighted average price as of December 31st, 2020. The transaction reflects a 40% premium for FLIR stockholders based on FLIR’s 30-day volume weighted average price as of December 31st, 2020.

  • Airoha Technology Corporation, a MediaTek subsidiary, has offered to buy all 68.55 million shares of IC Plus at NT$22 per share, MediaTek said in a regulatory filing. The deal is subject to the approval of shareholders at an extraordinary meeting on February 23rd.
    Update: The deal was cancelled on February 23, 2021, as less than 62% of IC Plus shareholders attended the meeting.
